Terms governing your access to and use of Monway Portal

These Terms & Conditions ("Terms") govern your access to and use of the Monway application(s), website(s), merchant tools, and related services (collectively, the "Platform"). By creating an account, accessing, or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

IMPORTANT:

The Platform may offer promotions, sweepstakes, drawings, contests, and prize programs ("Promotions"). Each Promotion is governed by these Terms and by separate "Official Rules" for that Promotion ("Official Rules"). If there is any conflict, the Official Rules control for that Promotion.

1. Definitions

For clarity, the following terms have the meanings below:

"User," "you," "your": any person who accesses or uses the Platform.

"Customer": a User participating in Offers, receipt scanning, Missions, Promotions, or related Rewards.

"Merchant," "Business": a business entity participating in the Platform as a merchant partner.

"Merchant Panel": the dashboard and tools provided to Merchants for management of their store, Offers, receipt approvals, and related services.

"Offer": merchant-defined promotions (e.g., "Spend $50 earn 10 Chance Ticket") displayed on the Platform.

"Promotion": any sweepstakes, drawing, contest, or prize program offered through the Platform.

"Promotion Period": the entry-earning window for a Promotion as defined in the Official Rules.

"Entry," "Chance Ticket": a promotional entry unit used for Promotions; not cash; not property; not transferable except as expressly allowed.

"AMOE": "Alternative Method of Entry" by mail.

"Prize Pool," "State Pot," "State Prize Pool": the prize pool calculated for a given state/jurisdiction for a given Promotion/drawing.

"Pending," "Approved," "Rejected": internal statuses used to validate receipts, transactions, and eligibility.

"Points," "Score," "Activity Score," "Badges," "Trophies": optional in-app values for engagement/ranking, as defined by Monway, with no cash value unless explicitly stated.

2. Eligibility and Account Requirements

2.1 Age Requirement (18+ / Age of Majority)

You must be at least eighteen (18) years old or the age of majority in your state of residence, whichever is higher, to create an account, participate in Promotions, earn entries, claim prizes, or receive any commissions/rewards.

2.2 Accurate Information Required

You agree to provide true, accurate, current, and complete information (including legal name, date of birth, address, email, and phone number) and to keep it updated.

2.3 Misrepresentation; Disqualification

If you provide false, inaccurate, incomplete, or misleading information, or if you are ineligible (including underage), Monway may, in its reasonable discretion:

  • suspend or terminate your account,
  • void entries and rewards,
  • disqualify you from Promotions,
  • deny or revoke prize awards even after selection as a potential winner.

2.4 One Person / One Account (Integrity)

Monway may restrict participation to one account per person. Monway may link and aggregate accounts using reasonable identifiers (e.g., name, address, email, phone, device signals) for fraud prevention, eligibility enforcement, and cap enforcement.

2.5 Excluded Parties

Unless the applicable Official Rules expressly allow otherwise, employees, officers, directors, agents, and representatives of Sponsor and its affiliates, and any immediate family members (spouse, parent, child, sibling) and household members of each are not eligible to participate in Promotions or win prizes.

2.6 Legal Restrictions; Sanctions

Sponsor may restrict participation or payment of prizes/commissions where prohibited by law, including where identity/residency cannot be verified or where payment would violate applicable sanctions, tax rules, or regulatory requirements.

3. Account Access, Security, and Communications

3.1 Login and OTP

Monway may use passwordless authentication, including one-time passcodes ("OTP") sent to email and/or SMS. You are responsible for maintaining access to your email/phone and for all activity under your account.

3.2 Account Security

You must promptly notify Monway of suspected unauthorized access. Monway may require additional verification, impose temporary holds, or restrict access to protect security and integrity.

3.3 Communications Consent (Transactional vs. Marketing)

(a) Transactional/Operational Messages

By using the Platform, you consent to receive transactional and operational communications such as OTP codes, security alerts, receipt status updates, account notices, and prize notifications via email, SMS, and/or push notifications.

(b) Marketing Messages (Optional)

Where required, Monway will send marketing/promotional messages only with your consent. You may opt out of marketing communications at any time:

  • Email: use the unsubscribe link or instructions in the message (we will honor opt-out requests as required by law).
  • SMS: reply STOP (or equivalent keyword) to opt out of marketing texts, where applicable.

(c) Costs

Standard message/data rates may apply.

Monway will process opt-out and consent revocation requests in a timely manner and, for marketing texts subject to applicable law, will honor valid revocation requests within a reasonable time not to exceed ten (10) business days after receipt. Users may revoke consent by any reasonable method that clearly communicates the request (including standard keywords such as STOP/UNSUBSCRIBE where applicable).

4. Platform Rules; Prohibited Conduct; Enforcement

You agree not to:

  • use automation (bots, scripts), farms, emulators, or bulk methods to generate activity, entries, points, or commissions;
  • submit fake, altered, duplicated, or otherwise fraudulent receipts or transaction information;
  • exploit refunds, returns, chargebacks, or disputes to improperly generate entries;
  • attempt to tamper with winner selection, prize calculations, referral placement, or system logs;
  • create multiple accounts to evade limits or verification;
  • violate applicable law.

Enforcement: Monway may audit, investigate, void entries, remove rewards, place holds, require verification, suspend/terminate accounts, deny prizes/commissions, and take other actions necessary to maintain integrity and comply with law.

5. Promotions and Official Rules

5.1 Official Rules Control Promotions

Each Promotion has Official Rules specifying, at minimum: eligibility, jurisdictions, entry methods, Promotion Period, drawing time, prize structure, claim requirements, verification, and forfeiture/re-draw procedures.

5.2 No Purchase Necessary; AMOE; Equal Chance Per Entry

"NO PURCHASE NECESSARY"

Where a Promotion is offered in connection with the sale of goods/services or otherwise could be interpreted as requiring consideration, Monway will provide a free alternative method of entry ("AMOE") as described in the applicable Official Rules. A purchase will not increase the chances of winning. Where offered, each eligible entry has the same chance of winning per entry, subject to eligibility, caps, and verification.

5.3 Sweepstakes Classification

All Promotions are promotional sweepstakes and are not lotteries, gambling, or wagering activities. No real-money entry fee is required to participate.

5.4 No Guarantee

Promotions are based on chance. No one is guaranteed to win. Entries and rewards can be voided for ineligibility, fraud, abuse, or violations.

5.5 State Registration / Bonding / Restrictions

Promotions are void where prohibited. Where required by applicable law, Sponsor will complete required registrations, bonding, and/or filings for a Promotion or will restrict eligibility to exclude affected jurisdictions.

5.6 Promotion Integrity; Technical Issues; Sponsor Rights

Sponsor may, to the extent permitted by law, cancel, suspend, modify, or terminate a Promotion (including delaying a drawing) if fraud, tampering, technical failures, unauthorized intervention, system errors, platform outages, or other causes beyond Sponsor's reasonable control impair the administration, security, fairness, or integrity of the Promotion. Sponsor may void or correct affected entries, eligibility determinations, prize calculations, referral commissions, or results that are impacted by such issues, and may select winners from among eligible, unaffected entries in a manner consistent with the Official Rules and applicable law.

5.7 Odds of Winning

Odds of winning depend on the number of eligible entries received during the Promotion Period and any applicable caps, eligibility rules, and verification requirements.

5.8 Release

To the maximum extent permitted by law, by participating in a Promotion, participants release Sponsor and its affiliates, and each of their respective officers, directors, employees, and agents, from and against any claim arising from participation in the Promotion or receipt/use/misuse of any prize, except to the extent caused by Sponsor's gross negligence or willful misconduct.

6. Chance Tickets (Entries): Earning, Status, and Limits

6.1 Earning Chance Tickets

Chance Tickets may be earned through eligible activity described in Offers, Missions, or other Platform features, as described in Official Rules and/or in-app disclosures.

6.2 Conditional Until Approved

Chance Tickets associated with receipts/transactions may be conditional until validated and marked Approved. Pending or Rejected activity may not generate eligible entries.

6.3 Entry Cap (All Methods)

Unless the applicable Official Rules specify a different cap, each person may earn no more than 1,000 entries per calendar month per state/jurisdiction for drawings ("Monthly State Cap"), across all entry methods including AMOE, purchases/offers, and missions. Entries beyond the cap are void.

6.4 Aggregation for Cap Enforcement

Monway may enforce caps by aggregating across identifiers reasonably associated with the same person. Attempts to evade caps may result in disqualification.

7. Receipt Scanning and Validation (If Featured)

7.1 Submission and Review

Users may submit receipts as permitted by the Platform. Receipts may be reviewed by the Merchant and/or Monway to confirm eligibility.

7.2 Invalid or Disputed Transactions

If a transaction is refunded, returned, reversed, disputed, or chargebacked, any related entries/rewards may be removed or voided.

7.3 Audit and Verification

Monway may request additional information and may rely on Platform records, merchant confirmations, and/or payment records to validate eligibility.

8. Prize Pool and Prize Rules (Default System)

Unless a Promotion's Official Rules state otherwise, the following default prize pool rules apply.

8.1 Variable Prize Pools by State/Jurisdiction

Monway may calculate separate prize pools by state/jurisdiction ("State Pots"). Prize amounts are not fixed and vary by state and drawing.

8.2 Net State Pot; Approved Activity Only

Monway calculates a "Net State Pot" using internal accounting, based on eligible activity and applying applicable deductions/adjustments (e.g., refunds, chargebacks, rejected activity, fraud offsets, processing offsets) as disclosed for the Promotion. Only Approved activity is included.

8.3 Semi-Live Display; Final Lock

Monway may display semi-live estimates with a buffer. Before the drawing occurs, Monway will finalize and lock the Net State Pot amount used for prize allocation.

8.4 Minimum Guaranteed Prize

Default minimum total prize per eligible State Pot is $10,000 USD. If a State Pot's finalized Net State Pot is below $10,000, Sponsor may top up the pot to $10,000 and fund the difference. In the minimum scenario, there is one (1) winner.

8.5 Levels and Winner Counts (Doubling Thresholds; Max 10 Winners)

Default structure:

  • Net Pot < $10,000 → top-up to $10,000 → 1 winner
  • $10,000 ≤ Net Pot < $20,000 → 1 winner receives full pot
  • Level 1: $20,000 ≤ Net Pot < $40,000 → 2 winners
  • Level 2: $40,000 ≤ Net Pot < $80,000 → 3 winners
  • Level 3: $80,000 ≤ Net Pot < $160,000 → 4 winners
  • …each next level doubles the threshold and adds one winner, capped at 10 winners per State Pot per drawing.

8.6 Prize Splits

  • 1 winner: 100% of pot
  • 2 winners: equal split (50/50)
  • 3–10 winners: sequential halving; last two split remainder equally:
    • Winner #1 gets 1/2 of pot
    • Winner #2 gets 1/2 of remainder
    • Winner #3 gets 1/2 of remainder, etc.
    • Final two winners split the remaining amount equally.

Rounding to cents may be applied; minor rounding differences may be adjusted to the last payout.

8.7 Future-Only Changes (Prospective)

Sponsor may change minimum prize, levels, winner counts, split math, deductions/offsets, and related mechanics only for Promotions not yet started, and will disclose updates in the Platform and/or Official Rules.

8.8 Future-Only Schedule Changes

Sponsor may increase/decrease Promotion Period length and/or drawing frequency (e.g., weekly/biweekly/monthly) only for Promotions not yet started, with updated dates published in Official Rules/in-app.

9. Winner Selection, Verification, Claim Deadlines, and Taxes

9.1 Potential Winners

Selected winners are "potential winners" pending verification.

9.2 Verification

Monway may require proof of identity, residency, eligibility, and tax documentation (e.g., W-9) as permitted/required. Failure to provide required documentation within the claim window may result in forfeiture.

9.3 Claim Deadline

Winners must claim prizes within the claim window stated in Official Rules ("Claim Deadline"). Failure to claim by the Claim Deadline results in forfeiture.

9.4 Taxes

Winners are responsible for all taxes. Monway may withhold and report as required by law.

9.5 Publicity Release (Where Permitted)

Except where prohibited, by accepting a prize, a winner grants Sponsor and its designees the right to use the winner's name (first name + last initial), city/state, likeness, and/or prize information for promotional purposes in any media without further permission or compensation.

9.6 Winner List

Sponsor may provide a winner list upon request where required by law or where stated in Official Rules, subject to verification and privacy considerations.

10. Forfeiture, Disqualification, and Re-Draw

10.1 Forfeiture

Prizes may be forfeited if a winner is ineligible, disqualified, fails verification, fails to claim within the Claim Deadline, or cannot be contacted.

10.2 Re-Draw / Alternate Winner

For forfeited prizes, Monway will re-award the prize using the method described in the applicable Official Rules, which may include drawing alternates or re-running a draw at the time of the next scheduled drawing (before or after) or as otherwise specified.

10.3 Unclaimed Property Compliance

Where required by law, unclaimed prizes may be treated as unclaimed property and handled according to applicable unclaimed property requirements.

11. AMOE (Alternative Method of Entry) By Mail (When Offered)

This Section 11 applies only to Promotions whose Official Rules include an Alternative Method of Entry ("AMOE"). Where AMOE is offered, it is available as described in the Official Rules for that Promotion. This section applies only where a Promotion's Official Rules provide AMOE and is required by law in the country or states for each promotion separately.

11.1 AMOE Amount and Limits

Each valid AMOE submission earns 40 entries for the identified drawing/state. Limit one (1) AMOE submission per person per day. AMOE entries are subject to the Monthly State Cap (default 1,000/month/state unless Official Rules state otherwise).

11.2 Submission Format; One Person Per Mailpiece

AMOE must be submitted as one person per mailpiece (postcard or card-in-envelope) using standard postal service. Multiple cards in one envelope are not permitted and are void.

11.3 Mandatory vs Optional Information

Mandatory (required, legible, accurate):

  • First name
  • Last name
  • Date of birth
  • Residential address (street, city, state, ZIP)
  • Email address (valid)
  • Phone number
  • Correct drawing/promotion name (as shown in Official Rules)
  • Selected state/jurisdiction (if applicable)

Optional:

  • Monway account number / user ID / username

Missing/illegible/incorrect mandatory information may invalidate the submission.

11.4 Handwritten; No Mechanical Reproduction

AMOE submissions must be hand-printed. Typed/printed/photocopied/stamped/label-based submissions are void.

11.5 Deadlines

AMOE submissions must be postmarked and received by the deadlines stated in Official Rules. Proof of mailing is not proof of receipt. Sponsor is not responsible for late, lost, damaged, misdirected, or postage-due mail.

11.6 AMOE Submissions Become Sponsor Records; Not Returned

All AMOE materials become Sponsor administrative records upon receipt and will not be returned. Sponsor may retain submissions for audit, tracking, compliance, dispute resolution, and fraud prevention.

11.7 Anti-Abuse

Sponsor may void AMOE submissions that appear automated, mass-produced, coordinated, or otherwise abusive, including attempts to evade caps or verification.

For convenience, Sponsor may also publish AMOE instructions on Sponsor's website; however, the Official Rules control and apply for each Promotion, and any changes apply only as permitted in Section 8.7/8.8 (prospective only).

12. Smart Referral Network and Commissions (Final Template)

12.1 Overview; Free; Not an Investment

Monway may offer a Smart Referral Network that allows Users and Businesses to build referral networks. Participation is free. No purchase is required to join or invite others. The referral system is a promotional feature, not an investment product, and does not guarantee earnings.

12.2 Lifetime Validity; Compliance Requirement

Referral relationships are intended to remain valid for the lifetime of the account unless the account is suspended/terminated or becomes ineligible. If an account is suspended or terminated (temporary or permanent), the participant is not eligible for future referral commissions and may forfeit pending or unpaid commissions.

Nothing in this section guarantees income, and commissions depend solely on actual verified prize wins and compliance with these Terms.

12.3 Referral Assignment at Signup (Direct vs Non-Direct)

(A) Direct Join (Level 1)

During signup, a new participant may enter a referrer code or username. If valid, the new account joins as a Direct Join and is placed under the referrer as Level 1.

(B) Non-Direct Join (Level 2 by Design)

If a participant joins without entering a referrer code/username (e.g., random finder, system assignment, guest scan flow, location-based assignment), the placement is treated as a Non-Direct Join and is positioned one level lower than a direct join (i.e., Level 2 relative to the chosen referrer) to encourage direct joining where possible.

12.4 RSHO Bridge Node (System-Generated Intermediate)

For Non-Direct Joins, Monway may create a system-generated intermediary record ("RSHO Node") under the selected referrer and place the new participant beneath the RSHO Node. RSHO Nodes are system records only and are not real user accounts. They cannot log in, cannot earn or hold Chance Tickets, cannot participate in Promotions, and do not receive prizes.

12.5 Guest Receipt Scan → Signup (Store-Based Indirect Placement)

If a person begins using the Platform in a guest/onboarding flow and scans a receipt tied to a Merchant on Monway, Monway may require signup to complete the process. Monway may use the Merchant/store context for referral placement; however, because the user did not enter a referrer code/username, this is treated as a Non-Direct Join (Level 2 via RSHO).

12.6 Referral Prize Commission Trigger (Not a Simple Invite Bonus)

Commissions are not paid merely for inviting users. Referral prize commissions are calculated only when a participant wins a cash prize in a Promotion and the win is finalized and not disqualified.

12.7 Commission Formula (10% Compounding Up the Chain)

Referral commissions are paid by Monway as a separate promotional benefit and do not reduce the prize amount awarded to the winner, unless the applicable Official Rules expressly state otherwise.

If a winner receives prize amount X, Monway will pay the Commission bonus to the referrer tree network Up the Chain with this flow and rule:

  • Level 1 referrer receives 10% of X
  • Level 2 referrer receives 10% of Level 1 commission
  • Level 3 receives 10% of Level 2, and so on.

Commissions stop when the calculated upstream amount rounds below $0.01 (one cent). Rounding is applied to the nearest cent.

12.8 Pending → Unlocked Rule (Winner Must Finalize)

All referral commissions are recorded as Pending until the winner completes verification and finalizes prize claim/withdrawal. Only then are commissions unlocked for eligible referrers.

If the original potential winner is disqualified or fails to claim on time and a re-draw occurs, the pending commissions associated with the disqualified/unclaimed outcome are void, and commissions (if any) follow the new verified winner and their eligible referral chain.

12.9 Referrer Disqualification and Non-Redistribution

Referral commissions are separate from the sweepstakes prize. If a referrer is ineligible, disqualified, suspended/terminated, or fails verification, Sponsor is not required to pay that commission. Forfeited referrer commissions are not redistributed to others and revert to Sponsor's funding.

12.10 Invite Costs

Any SMS, email, or internet/data charges incurred when sending invites are the participant's responsibility. Monway is not responsible for third-party carrier/provider fees or delivery failures.

12.11 Anti-Abuse

Self-referrals, referral cycling, account sales, spam, automation, manipulation of non-direct joins (including repeated guest scans), and location spoofing are prohibited and may result in voided commissions, disqualification, suspension, termination, and/or network reassignment.

12.12 Taxes and Reporting (Commissions)

Referral commissions may be reportable income. Sponsor may require tax forms (e.g., W-9/W-8) and may withhold or report as required by law before paying commissions.

12.13 Program Changes (Prospective Only)

Sponsor may modify, suspend, or discontinue the Smart Referral Network for future activity at any time, and will provide notice where required by law. Changes will not retroactively reduce already-earned and unlocked commissions, except as needed for fraud, error correction, or legal compliance.

12.14 Errors; Setoff; Recoupment

Sponsor may correct errors in referral tracking, commission calculations, and payouts. Sponsor may withhold, offset, or recoup commissions where necessary due to fraud, chargebacks/refunds, reversals, duplicate accounts, violation of these Terms, or compliance obligations, to the extent permitted by law.

13. Optional Points, Score, and In-App Rewards System

(Include only if you actually use points/scores/ranks.)

13.1 No Cash Value; Not Property

Points, scores, badges, levels, and similar in-app values are promotional, have no cash value, are not property, and are not redeemable for cash unless explicitly stated.

13.2 Earning and Adjustments

Monway may award points/scores for activity, participation, or other actions. Monway may adjust, remove, reset, or expire points/scores at any time for integrity, fraud prevention, program changes, or errors, subject to law.

13.3 No Guarantee

Points/scores do not guarantee prizes, earnings, status, or benefits. Rankings and leaderboards may be delayed, corrected, or recalculated.

14. Merchant Program Terms (Business Side)

14.1 Enrollment, Capacity, and Waitlists

Monway may limit the number of Merchants by category/city/state. Enrollment and re-enrollment may be subject to a waitlist and is not guaranteed.

14.2 Merchant Opt-Out (Unenroll) and Notice

Merchants may opt out of the program. To be effective for an upcoming drawing cycle, an opt-out request must be submitted at least seven (7) business days before the next Promotion Period begins for the relevant state/jurisdiction.

14.3 Current Period Obligations

Opting out does not remove the Merchant from a drawing period already in progress. Merchants remain responsible for 100% of charges and obligations incurred during the current period.

14.4 Removal From Discovery; Merchant Panel Access

Once a Merchant is no longer a Monway partner, Monway may remove the store listing from discovery and revoke Merchant Panel access. Monway may convert the account to a standard user-type account unless the Merchant later re-enrolls.

14.5 Owner/Manager Access Control

Merchant owners are responsible for appointing appropriate managers and removing access promptly when personnel changes occur. The Merchant is responsible for all actions taken by authorized users.

14.6 Offers and Default Minimum Offer

Merchants manage their Offers. Monway may enforce a default minimum Offer that is non-removable. Merchants may create higher Offers and may modify/remove merchant-created Offers subject to timing rules and compliance.

14.7 Receipt Review (Approval/Rejection; 10 Days)

Merchants are responsible for reviewing receipts and must approve or reject receipts within ten (10) days of submission unless Official Rules specify otherwise. Merchants must reject fraudulent/invalid receipts and approve valid ones.

If a Merchant does not take action within the review window, Monway may (at its discretion) keep the receipt Pending, auto-approve, or auto-reject based on fraud/risk signals and program rules disclosed in the Merchant Panel.

If a Merchant mistakenly rejects a valid receipt, disputes are between the Merchant and Customer. Monway is not responsible for the Merchant's decision.

14.8 Invalid Transactions and Winner Verification

If a transaction tied to a winning entry is suspected to be invalid (e.g., refund/return/chargeback/dispute), Monway may require confirmation from the Merchant and/or payment records, may hold payment pending investigation, and may disqualify the entry and select an alternate winner under Official Rules.

14.9 Merchant Billing and Payment Processing

Merchants are responsible for charges owed to Monway. Payments may be processed via online banking and/or third-party payment processors. Non-payment may result in suspension, removal, and loss of panel access.

14.10 Merchant Representations and Compliance

Merchant represents and warrants that it has authority to participate, that its Offers, advertisements, discounts, products/services, and receipt decisions comply with applicable laws (including consumer protection, pricing/discount disclosure, tax, and advertising rules), and that it will cooperate with Sponsor's fraud and verification processes. Merchant is responsible for its products/services and customer disputes arising from them.

15. Payments, Fees, and Third-Party Processors

Monway may use third-party providers for payment processing, identity verification, analytics, hosting, email/SMS, and other services. Monway is not responsible for third-party outages, delays, or fees imposed by such providers.

Third-party payment processors and service providers operate under their own terms and privacy policies. Monway is not responsible for their independent actions or omissions.

16. Intellectual Property and User Content

16.1 Monway IP

Monway and its licensors own the Platform and all related IP. You may not copy, modify, reverse engineer, or exploit the Platform.

16.2 User Submissions

If you submit content (receipts, reviews, images, text), you grant Monway a worldwide, royalty-free license to use it for operating, verifying, auditing, fraud prevention, and improving the Platform, subject to the Privacy Policy.

You represent and warrant that you own or have all necessary rights, licenses, and permissions to submit such content and to grant the license described above, and that your content does not infringe or violate any third-party rights.

16.3 Copyright Complaints

If you believe that any content on the Platform infringes your intellectual property rights, please notify us at legal@monwayportal.com with sufficient detail to investigate. We may remove or disable access to allegedly infringing content and may terminate repeat infringers where appropriate.

17. Privacy

Your use of the Platform is subject to Monway's Privacy Policy, incorporated by reference: https://www.monwayportal.com/privacy

Monway may display promotional content from participating businesses within the app. Such content is contextual and based solely on activity within the Monway platform.

18. Disclaimers

The Platform is provided "as is" and "as available." Monway does not guarantee uninterrupted operation, error-free results, or that any participant will win any Promotion.

19. Limitation of Liability

To the maximum extent permitted by law, Monway is not liable for indirect, incidental, special, consequential, or punitive damages. Monway's total liability for any claim relating to the Platform is limited to the greater of (a) the amount you paid Monway in the prior 12 months, or (b) $100, unless a different limit is required by law.

Some jurisdictions do not allow certain liability limitations; nothing in these Terms limits liability to the extent prohibited by law, including for gross negligence or willful misconduct.

20. Indemnification

You agree to indemnify and hold harmless Monway from claims arising out of your misuse of the Platform, violations of these Terms, fraud, or unlawful conduct. Merchants additionally indemnify Monway for claims arising from their Offers, receipt decisions, products/services, and compliance obligations.

21. Suspension and Termination

Monway may suspend or terminate accounts for violations, fraud/abuse, risk, or legal compliance. Entries, rewards, points, and commissions may be voided where permitted by law.

22. Force Majeure

Monway is not responsible for delays or failures due to events beyond reasonable control (e.g., disasters, outages, war, labor disputes, network/provider failures). Monway may delay a drawing or adjust operations consistent with Official Rules and applicable law.

23. App Store Disclaimers (If Mobile App)

Apple/Google are not sponsors of Promotions and are not responsible for Promotions. Users release Apple/Google from claims related to Promotions to the extent required by platform policies.

24. Dispute Resolution

25. Changes to Terms

Monway may update these Terms. Material changes will be posted with an updated "Last Updated" date and additional notice where required.

26. Miscellaneous

  • Severability: If any provision is invalid, the rest remains enforceable.
  • Assignment: Monway may assign these Terms in connection with a merger, acquisition, or asset sale.
  • No Waiver: Failure to enforce a provision is not a waiver.
  • Entire Agreement: These Terms + Privacy Policy + Official Rules + Merchant agreements constitute the entire agreement.
