Terms & Conditions

1.1 No Purchase Necessary

Monway may offer promotional sweepstakes, drawings, prize promotions, and related promotional programs ("Promotions").

Unless a specific Promotion is lawfully structured differently and clearly disclosed, chance-based Promotions connected to receipt activity, purchase activity, business activity, customer engagement, or similar activity will include a free Alternative Method of Entry ("AMOE").

Each valid eligible entry in the same Promotion has the same chance of winning as each other valid eligible entry in that Promotion, regardless of entry method.

1.2 Official Rules Control Promotions

Each Promotion is governed by these Terms, the applicable Promotion Details, the AMOE instructions, and the applicable Official Rules. If there is any conflict regarding a specific Promotion, the Official Rules control for that Promotion.

1.3 Not Gambling, Betting, or Wagering

Monway is intended to operate as a promotional marketing, business discovery, customer engagement, receipt-verification, referral, rewards, and sponsor-funded promotional platform.

Monway does not sell sweepstakes entries to users. Users do not pay Monway for entries. Entries are not money, are not property, are not stored value, are not redeemable for cash, and may not be sold, transferred, traded, assigned, or exchanged.

The Platform is not intended to be gambling, betting, casino gaming, a lottery, wagering, or pay-to-win activity.

1.4 Void Where Prohibited

The Platform, Promotions, AMOE, referral features, business tools, rewards, commissions, and related features are void where prohibited or restricted by law. Monway may limit, suspend, modify, or refuse access in any jurisdiction where Monway determines that offering the Platform or a feature is unlawful, restricted, commercially impractical, or creates unacceptable compliance risk.

The following documents may apply to your use of Monway:

• These Terms of Service;
• The Privacy Policy;
• The Privacy Choices page;
• The Privacy Request process;
• The AMOE Instructions;
• The Official Rules and Promotion Details for each Promotion;
• Any Merchant Agreement, Merchant Order Form, Rate Card, invoice, campaign approval, dashboard disclosure, or written business terms accepted by a Business;
• Any additional terms displayed in the Platform.

If there is a conflict:

• The Official Rules control Promotion-specific issues;
• A signed Merchant Agreement, Merchant Order Form, or accepted Rate Card controls business payment and service obligations;
• The Privacy Policy controls privacy practices;
• These Terms control general Platform use.

• "Account" means a user, business, merchant, admin, or other profile created to access Monway.
• "AMOE" means Alternative Method of Entry, a free method of entry for Promotions, typically by mail, as described in the applicable Official Rules.
• "Business," "Merchant," or "Store" means a business entity, store, owner, authorized representative, franchisee, location, merchant partner, or commercial participant using Monway business tools.
• "Business Dashboard" or "Merchant Panel" means the business-facing tools, dashboards, receipt-review tools, analytics panels, campaign-management tools, billing tools, messaging tools, and related services made available to Businesses.
• "Campaign" means a business, sponsor, or Monway promotional campaign, offer, listing, engagement program, receipt-based activity, advertising campaign, customer-discovery campaign, or Promotion made available through the Platform.
• "Customer Data" means limited information about a user, receipt, transaction, review, or campaign activity that Monway makes available to a Business only as needed to validate activity, resolve disputes, provide customer support, or operate approved services.
• "Entry" or "Promotional Entry" means a promotional sweepstakes entry issued under the applicable Official Rules. Entries have no cash value and are not property.
• "Merchant Fees" means amounts a Business owes Monway for platform access, business listing, merchant tools, campaign participation, sponsorship, marketing services, sales commission, push notifications, AI assistant tools, analytics, future services, or other approved business services.
• "Offer" means a merchant, sponsor, or Monway promotional opportunity displayed in the Platform. Offers may include receipt-based participation, verified activity, store engagement, missions, promotions, or other qualifying actions disclosed in the Platform. Offers do not sell entries.
• "Official Rules" means the official rules governing a specific Promotion.
• "Platform" means all Monway apps, websites, dashboards, merchant tools, support systems, communication channels, APIs, and related services.
• "Promotion" means any sweepstakes, drawing, promotional prize program, campaign, or similar chance-based promotion offered through or in connection with Monway.
• "Promotion Details" means the specific details for a Promotion, including dates, eligible jurisdictions, entry methods, deadlines, prize structure, winner selection method, winner count, claim deadlines, and other Promotion-specific terms.
• "Receipt" means a submitted proof-of-activity, proof-of-purchase, proof-of-visit, or similar document submitted for validation.
• "User," "you," and "your" mean any person or entity accessing or using the Platform.

4.1 Age Requirement

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, whichever is higher, to create an account, submit receipts, participate in Promotions, claim prizes, receive referral benefits, receive commissions, or use business tools.

4.2 Residency and Location

Promotions and certain Platform features may be limited to specific states, territories, countries, or jurisdictions. You must satisfy the residency, location, and eligibility requirements stated in the applicable Official Rules or Platform disclosure.

4.3 Accurate Information

You must provide true, accurate, current, and complete information, including legal name, date of birth, email address, phone number, residential address, business information, tax information, payment information, and other information requested for eligibility, verification, fraud prevention, payment, tax reporting, or legal compliance.

4.4 Verification

Monway may require identity, age, residency, tax, business authority, ownership, payment, location, device, fraud-prevention, or eligibility verification.

Failure to complete verification may result in denial of access, suspended account status, voided entries, forfeited prizes, unpaid commissions, withheld merchant services, payment holds, or termination.

4.5 Excluded Parties

Unless the applicable Official Rules state otherwise, employees, officers, directors, contractors, agents, representatives, affiliates, advertising agencies, promotion partners, and immediate family or household members of Monway or any Promotion sponsor are not eligible to win Promotions.

4.6 One Person, One Account

Each individual may maintain only one personal user account unless Monway expressly permits otherwise.

Creating multiple accounts to evade limits, increase entries, manipulate referrals, bypass restrictions, obtain extra benefits, or avoid enforcement is prohibited.

5.1 Account Access

Monway may use passwordless login, one-time passcodes, email authentication, SMS authentication, third-party sign-in, device verification, biometric authentication, or other access methods.

5.2 Account Responsibility

You are responsible for all activity under your account, including activity by anyone who accesses your account, device, email, phone, business dashboard, or login credentials.

5.3 Unauthorized Access

You must promptly notify Monway if you suspect unauthorized access, fraud, compromised credentials, business dashboard misuse, incorrect account activity, or payment issues.

5.4 Account Holds

Monway may place temporary or permanent holds on accounts, entries, receipts, prizes, commissions, merchant payments, campaigns, offers, or business tools for security, fraud prevention, legal compliance, dispute resolution, payment review, tax review, or investigation.

6.1 Transactional Communications

By using the Platform, you consent to receive transactional, operational, administrative, security, legal, receipt status, account, Promotion, prize, referral, commission, business, and support communications by email, SMS, push notification, in-app message, phone, mail, or other reasonable channels.

6.2 Marketing Communications

Monway may send marketing communications where permitted by law or with consent where consent is required. You may opt out of marketing communications at any time by using unsubscribe tools, replying STOP to eligible SMS messages, adjusting app settings, or contacting Monway. Monway will honor valid marketing opt-out requests within a reasonable time not to exceed ten (10) business days after receipt.

6.3 Business Communications

Businesses agree that Monway may send service-related, billing, campaign, receipt review, dashboard, compliance, invoice, account, legal, and support communications to the business owner, authorized users, managers, and listed business contacts.

6.4 Message and Data Rates

Standard message, data, carrier, and internet charges may apply. Monway is not responsible for third-party carrier charges or delivery failures.

You agree not to:

• submit fake, altered, duplicate, stolen, purchased, reused, refunded, reversed, chargebacked, or otherwise invalid receipts;
• use bots, scripts, automation, farms, emulators, click-farms, bulk methods, artificial activity, or coordinated abuse;
• create multiple accounts or identities;
• manipulate entries, referrals, receipts, reviews, ratings, business listings, prize outcomes, dashboards, or Platform logs;
• sell, transfer, trade, assign, or barter entries, accounts, rewards, referral positions, commissions, prizes, or access credentials;
• submit misleading reviews or ratings;
• threaten, harass, defame, impersonate, abuse, or intimidate other users, merchants, Monway staff, or partners;
• upload unlawful, infringing, obscene, abusive, hateful, deceptive, malicious, or privacy-invasive content;
• reverse engineer, scrape, copy, exploit, attack, overload, interfere with, or bypass Platform systems;
• use the Platform for money laundering, fraud, sanctions violations, illegal products, illegal services, or unlawful activity;
• attempt to avoid geographic, age, eligibility, tax, verification, payment, or compliance controls;
• violate these Terms, the Official Rules, Merchant Terms, Privacy Policy, or applicable law.

Monway may investigate, audit, suspend, terminate, void, reverse, withhold, correct, or report activity that Monway reasonably believes violates these Terms or threatens Platform integrity.

8.1 Receipt-Based Participation

Where available, users may submit receipts or other proof-of-activity for validation. A submitted receipt does not automatically create eligible entries, rewards, points, commissions, or benefits. Receipt-based activity may remain pending until reviewed and approved.

8.2 Validation

Receipts may be reviewed by Monway, the relevant Business, fraud-prevention systems, payment records, OCR tools, manual reviewers, or other verification processes.

8.3 Receipt Requirements

A receipt may be rejected if it is incomplete, illegible, duplicated, altered, outside the eligible time period, from an ineligible business, already used, refunded, returned, reversed, disputed, chargebacked, fraudulent, inconsistent with business records, or otherwise invalid.

8.4 No Purchase Requirement

Receipt submission is only one possible method of participation where disclosed. For chance-based Promotions connected to receipt activity, Monway will provide a free AMOE as described in the Official Rules. Users are not required to make a purchase to obtain eligible entries.

8.5 Local Time Rules

Receipt eligibility may be evaluated based on the local time zone of the store or business location, unless the applicable Official Rules state otherwise. Drawing records may be stored or administered in UTC for operational consistency.

8.6 Returns, Refunds, and Disputes

If a transaction is returned, refunded, reversed, disputed, chargebacked, voided, or determined invalid, Monway may remove or void related entries, points, rewards, commissions, merchant credits, or benefits.

8.7 Audit Rights

Monway may request original receipts, payment confirmation, merchant verification, identity verification, location confirmation, or additional documentation before approving entries, awarding prizes, paying commissions, or resolving disputes.

9.1 Official Rules Required

Each Promotion must have Official Rules or Promotion Details identifying eligibility, jurisdictions, Promotion Period, entry methods, entry limits, AMOE instructions, prize structure, winner count, drawing method, winner notification, claim deadline, tax requirements, and other material terms.

9.2 Entry Limits

Unless the applicable Official Rules state otherwise, each person may receive no more than 1,000 eligible entries per Promotion period per state or jurisdiction, across all entry methods combined, including AMOE, receipt-based participation, missions, engagement, referrals, or other qualifying activity.

9.3 Equal Chance Per Entry

Each valid eligible entry in the same Promotion has the same chance of winning as each other valid eligible entry in that Promotion, regardless of entry method.

9.4 AMOE Equal Dignity

For Promotions involving chance and receipt-based or purchase-connected participation, Monway will provide AMOE in a manner intended to allow eligible participants to obtain entries without purchase, subject to the same overall entry limits, deadlines, verification requirements, and eligibility rules.

9.5 AMOE Instructions

AMOE instructions will be provided in the applicable Official Rules or AMOE page. Unless the Official Rules state otherwise, each valid AMOE mail-in submission receives the number of entries stated in the Promotion Details, and AMOE entries count toward the same overall entry cap.

9.6 Entries Are Conditional

Entries may be pending, conditional, voidable, or subject to verification until final approval. Monway may correct entry counts, remove invalid entries, and enforce caps.

9.7 Chances of Winning

Chances of winning depend on the number of eligible entries received for the applicable Promotion and any applicable caps, jurisdictions, eligibility rules, and verification requirements.

10.1 Sponsor-Funded Promotional Prizes

Promotion prizes are sponsor-funded promotional prizes. User purchases do not fund entries, do not purchase entries, and do not create a wager.

Business fees paid to Monway are marketing, advertising, software, platform, service, campaign, commission, or promotional service fees. Business fees are not user wagers and are not user entry purchases.

10.2 Prize Amounts

Prize amounts, winner counts, prize allocation rules, minimum prizes, maximum prizes, tier structures, and prize schedules must be disclosed in the applicable Official Rules or Promotion Details.

10.3 Variable or State-Based Prizes

Monway may offer different prize amounts, prize pools, jurisdictions, tiers, or winner counts by state, region, business category, Promotion, or campaign, where permitted by law and disclosed in the applicable Official Rules.

10.4 Finalization Before Drawing

Any prize amount, prize pool, winner count, tier, or prize allocation used for a Promotion must be finalized before the drawing or winner selection, unless the Official Rules lawfully provide otherwise.

10.5 Winner Selection

Winners are selected using the method stated in the applicable Official Rules. Potential winners are subject to verification before any prize is awarded.

10.6 Drawing Method

If Monway uses a physical drawing, numbered-ball system, livestream, replay, randomizer, or other winner-selection method, the applicable Official Rules will describe the method, timing, records, and verification process.

10.7 Potential Winners

A selected entrant is only a potential winner until Monway verifies eligibility, identity, residency, entry validity, compliance with these Terms and Official Rules, and completion of required documents.

10.8 Claim Deadline

Potential winners must claim prizes by the deadline stated in the applicable Official Rules. Failure to claim, verify, or respond on time may result in forfeiture.

10.9 Taxes

Winners are responsible for all taxes, fees, reporting obligations, and consequences associated with prizes. Monway may require IRS Form W-9, W-8, identity documents, affidavits, releases, or other tax and compliance documentation before awarding prizes or commissions.

10.10 Publicity

Except where prohibited by law, accepting a prize grants Monway permission to use the winner's first name, last initial, city, state, prize information, image, likeness, voice, statements, and general winner story for promotional purposes without additional compensation.

10.11 Forfeiture and Alternate Winners

If a potential winner is ineligible, disqualified, fails verification, fails to claim, cannot be contacted, violates rules, or has invalid entries, Monway may forfeit the prize and select an alternate winner as stated in the Official Rules.

10.12 Unclaimed Property

Where required, unclaimed prizes may be handled under applicable unclaimed property laws.

11.1 Referral Features

Monway may offer referral codes, invite links, invite tokens, referral tracking, referral placement, business referral features, promotional bonuses, or commission features. These features may not be available in all jurisdictions, versions, platforms, or accounts.

11.2 Free Participation

Referral participation is free. No purchase is required to refer others, join a referral network, or participate in referral features.

11.3 No Investment or Guaranteed Benefits

Referral features are promotional and are not investments, securities, business opportunities, franchises, employment, wages, compensation programs, or promised-result programs. Monway does not guarantee that any user or Business will receive any bonus, reward, payout, or other economic benefit, and Monway communications must not describe referral features as a financial product or compensation plan.

11.4 Referral Validation

Monway may validate referral codes, invite tokens, account relationships, device signals, location signals, signup timing, and fraud indicators. Monway may reject, reverse, or correct referral assignments for fraud, self-referral, duplicate accounts, abuse, mistake, system error, or legal compliance.

11.5 No Self-Referral

Self-referrals, circular referrals, account sales, account rentals, fake accounts, referral farming, spam invitations, manipulated signups, and attempts to bypass referral limits are prohibited.

11.6 Commission Eligibility

Referral commissions or bonuses, if offered, are payable only if all eligibility, verification, tax, fraud-prevention, and legal requirements are satisfied.

Pending commissions may be voided if the underlying prize, transaction, account, business activity, or referral is reversed, invalid, fraudulent, disqualified, unpaid, or violates these Terms.

11.7 Taxes and Withholding

Referral commissions or bonuses may have tax consequences. Monway may require tax forms and may withhold, report, offset, or refuse payment as required by law.

11.8 Program Changes

Monway may modify, suspend, restrict, or discontinue referral features prospectively. Monway will not intentionally reduce already-finalized and payable commissions except for fraud, error correction, chargebacks, legal compliance, tax compliance, or violation of these Terms.

12.1 No Cash Value

Points, scores, badges, trophies, levels, rankings, achievements, activity scores, and similar in-app values have no cash value, are not property, and are not redeemable for cash unless Monway expressly states otherwise in writing.

12.2 Adjustments

Monway may adjust, expire, remove, reset, correct, or void points, scores, badges, rankings, or rewards for fraud prevention, errors, system changes, inactive accounts, abuse, or legal compliance.

12.3 No Guarantee

Points, scores, rankings, badges, and activity do not guarantee prizes, entries, commissions, status, benefits, visibility, or monetary results.

13.1 User Content

You may be allowed to submit reviews, ratings, receipt images, photos, comments, feedback, business information, profile information, messages, or other content ("User Content").

13.2 Content License

You grant Monway a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, display, reproduce, modify, moderate, remove, analyze, use, and distribute your User Content to operate, improve, secure, promote, and enforce the Platform, subject to the Privacy Policy.

13.3 Your Responsibility

You represent that you own or have all rights necessary to submit your User Content and that your User Content does not violate law, privacy rights, intellectual property rights, contractual rights, or these Terms.

13.4 Verified Reviews

Monway may label reviews as verified when associated with an approved receipt or other verified activity. Monway does not guarantee that every review is accurate, complete, current, or representative.

13.5 Review Integrity

Users and Businesses may not submit, request, buy, sell, trade, incentivize, suppress, manipulate, or coordinate fake, misleading, biased, undisclosed, or deceptive reviews.

Businesses may not condition compensation, discounts, rewards, entries, benefits, services, or treatment on a positive or negative review.

Businesses may not submit reviews of themselves, use employees or insiders to submit undisclosed reviews, threaten users over reviews, or suppress negative reviews through intimidation, retaliation, false reports, or improper incentives.

13.6 Moderation

Monway may remove, hide, reject, flag, limit, or moderate content that violates these Terms, appears fraudulent, is irrelevant, contains personal data, is abusive, is unlawful, violates review integrity, or creates legal or safety risk.

This Section applies to Businesses, Merchants, owners, authorized representatives, business staff, managers, franchisees, locations, and commercial users.

14.1 Authority

By creating or using a Business account, you represent that you have legal authority to bind the Business to these Terms, any Merchant Agreement, Order Form, Rate Card, campaign approval, dashboard terms, and payment obligations.

14.2 Enrollment and Capacity

Monway may approve, deny, limit, suspend, or revoke Business enrollment. Monway may limit the number of Businesses by category, city, state, market, industry, or operational capacity. Enrollment and re-enrollment are not guaranteed.

14.3 Business Verification

Businesses must provide accurate and current business name, legal entity name, owner or authorized representative information, store address, contact information, tax information, licenses, product or service details, hours, payment information, and other requested information.

Monway may verify business ownership, entity status, licenses, location, tax status, payment method, category, authority, reputation, and compliance before activating or continuing merchant services.

14.4 Business Services

Monway may provide business services including store listing, customer discovery, promotional campaigns, receipt validation tools, analytics, push notifications, AI assistant tools, campaign management, customer engagement, referral features, ranking, reporting, and future services.

Monway does not guarantee any specific customer traffic, sales, redemptions, revenue, profit, conversion, engagement, ratings, ranking, campaign result, or business outcome.

14.5 Merchant-Managed Offers

Businesses may create, manage, pause, modify, or remove offers through the Business Dashboard, subject to timing rules, system restrictions, compliance review, payment status, and applicable campaign rules.

Monway may require a default minimum offer, required campaign participation, minimum promotional structure, or standard listing information as a condition of enrollment.

14.6 Compliance-Safe Promotional Language

Businesses must describe Monway using accurate promotional language, such as:

• "promotional entries";
• "sponsor-funded promotion";
• "approved receipt activity";
• "no purchase necessary";
• "subject to Official Rules."

Businesses must not describe Monway as gambling, betting, a lottery, a raffle, casino gaming, wagering, pay-to-win, user-funded prizes, buying entries, or a promised financial outcome.

14.7 No Purchase Necessary Integrity

Businesses acknowledge that Monway Promotions are structured so that no purchase is necessary to participate and a purchase does not increase a user's chance of winning compared to the free entry method, subject to the same entry limits, eligibility rules, deadlines, and verification requirements.

Businesses must not communicate anything inconsistent with this to customers.

14.8 Merchant Fees and Rate Cards

Businesses agree to pay all applicable fees, commissions, subscriptions, setup fees, campaign fees, per-entry marketing fees, sales commission fees, push notification fees, AI assistant fees, analytics fees, service fees, payment processing fees, taxes, and future service fees shown in the applicable Merchant Agreement, Order Form, Rate Card, invoice, dashboard, or written approval.

14.9 What Merchant Fees Are For

Merchant Fees are charged for business services, including platform access, business listing, campaign sponsorship, advertising, customer-discovery tools, merchant dashboard tools, receipt-review tools, analytics, push notifications, AI assistant tools, reporting, and related services.

Merchant Fees are not payments for user entries. Merchant Fees are not user wagers. Merchant Fees do not permit users to buy entries.

14.10 Prize Funding Separation

Promotion prizes are sponsor-funded promotional prizes. Prize funding is operated separately from the consumer entry process.

User purchases do not purchase entries. Users do not pay Monway for entries. Business billing occurs on the business side of the Platform and is separate from the consumer entry experience.

Monway may fund prizes from its general business funds, sponsorship budgets, marketing budgets, business revenue, brand sponsor contributions, promotional reserves, or other lawful sources, as disclosed or permitted by the applicable Official Rules.

14.11 Future Services and Updated Rates

Monway may add, remove, modify, reprice, bundle, or unbundle business services. Updated rates apply prospectively after notice or acceptance as required by the applicable Merchant Agreement, dashboard disclosure, Order Form, or law.

Unless expressly stated, rate changes do not retroactively change fees already incurred during an active campaign period.

14.12 Payment Responsibility

Businesses are responsible for all charges incurred through their account, locations, campaigns, authorized users, managers, dashboard settings, approved services, and active offers.

14.13 Invoices and Payment Processing

Monway may invoice Businesses or charge approved payment methods through third-party processors. Businesses authorize Monway and its processors to charge applicable fees when due.

14.14 Late Payments and Non-Payment

Late, failed, disputed, reversed, or chargebacked business payments may result in suspension, removal from discovery, disabled campaigns, disabled receipt approvals, interest or late fees where permitted, collections, reporting, account holds, attorney fees, and termination.

14.15 Taxes

Merchant Fees are exclusive of taxes unless expressly stated otherwise. Businesses are responsible for applicable sales, use, excise, gross receipts, business, income, and other taxes related to their products, services, fees, campaigns, and payments, except taxes based on Monway's net income.

14.16 No Offset

Businesses may not withhold payment, offset invoices, or reverse charges because of customer disputes, receipt disputes, refunds, rejected receipts, platform downtime, or dissatisfaction unless Monway expressly agrees in writing or applicable law requires otherwise.

14.17 Receipt Review Window

Businesses are responsible for reviewing receipt-based submissions tied to the Business and must approve or reject them within ten (10) days of submission unless the Merchant Dashboard, Merchant Agreement, or Official Rules specify a different review window.

14.18 Honest Receipt Review

Businesses must reject fraudulent, altered, duplicated, refunded, returned, chargebacked, disputed, or invalid receipts and approve valid receipts in good faith.

Businesses must not reject valid receipts to avoid fees, reduce campaign activity, manipulate results, harm customers, or interfere with Promotion integrity.

14.19 Business Inaction and Auto-Approval

If a Business does not approve or reject a receipt-based submission within ten (10) days after submission, unless the Merchant Dashboard, Merchant Agreement, or Official Rules specify a different review window, the receipt will be automatically approved after that ten (10)-day review window, or other applicable review window, expires. Monway may still keep the receipt pending, reject it, void it, reverse it, or review it further if Monway determines that a fraud, legal-compliance, payment, customer-evidence, business-record, technical, or Platform-integrity reason requires further action.

Auto-approval is a consequence of Business inaction. Businesses remain responsible for charges, entries, campaign effects, customer-facing consequences, payment obligations, dispute obligations, and other obligations tied to valid approved or auto-approved activity.

Monway may audit, override, reverse, void, request more information, or otherwise resolve receipt activity based on fraud signals, customer evidence, business records, payment records, legal compliance, Promotion integrity, Platform rules, or other integrity concerns.

14.20 Receipt Disputes

Businesses must provide truthful and timely information in receipt disputes. If a Business wrongfully rejects valid receipts, delays review, provides false information, or fails to cooperate, Monway may correct the status, charge applicable fees, suspend the Business, or terminate merchant access.

14.21 Invalid Transactions

If a transaction tied to entries, rewards, commissions, prizes, or winning activity is suspected invalid because of refund, return, chargeback, dispute, fraud, mistake, or reversal, Monway may require confirmation from the Business or payment records, hold related outcomes pending investigation, and disqualify or reverse related activity consistent with the Official Rules.

14.22 Business Products and Customer Disputes

Businesses are solely responsible for their products, services, prices, taxes, refunds, returns, warranties, customer service, safety, quality, delivery, licenses, legal compliance, and disputes with customers.

Monway is not the seller of merchant goods or services.

14.23 Regulated Products and Services

Businesses may not use Monway to promote illegal, restricted, unsafe, deceptive, counterfeit, infringing, or regulated products or services unless expressly approved by Monway and permitted by law.

Restricted categories may include alcohol, tobacco, nicotine, cannabis, controlled substances, weapons, gambling, adult services, financial products, medical services, supplements, and other restricted categories.

14.24 Business Content and Brand License

Businesses grant Monway a non-exclusive, worldwide, royalty-free license to display, reproduce, modify, format, distribute, and use the Business's name, logos, trademarks, photos, store details, menus, offers, descriptions, hours, locations, and related content to operate, market, promote, and improve the Platform.

Businesses represent that they have all rights needed to provide their business content and that the content does not infringe third-party rights.

14.25 Customer Data and Privacy

Monway may disclose limited Customer Data to a Business only as reasonably necessary to validate receipts, resolve disputes, provide customer support, operate campaigns, or provide approved business services.

Businesses may use Customer Data only for the specific Monway-related purpose for which it was provided.

Businesses must not sell, share, re-market against, export, scrape, misuse, combine, or independently contact users using Monway-provided Customer Data unless they have separate lawful permission.

14.26 Confidentiality

Each party must protect the other party's non-public business, technical, financial, pricing, customer, security, operational, and platform information and use it only for the relationship's purpose.

14.27 Authorized Users

Businesses are responsible for all actions by owners, managers, employees, contractors, agents, and dashboard users. Businesses must promptly remove access for anyone who no longer needs access.

14.28 Business Compliance Acknowledgment

The Business acknowledges and agrees that Monway is a customer-engagement, business-discovery, rewards, and sponsor-funded promotional-campaign platform, not a gambling, lottery, betting, casino, or pay-to-win product.

The Business agrees that:

• users do not purchase promotional entries;
• Merchant Fees are for business services, not user entry purchases;
• the Business will not make unauthorized benefit, payout, investment-style, compensation-plan, or promised-result claims in connection with Monway;
• the Business will use only accurate, approved promotional language in customer-facing materials referencing Monway;
• the Business will cooperate with Monway's fraud-prevention, compliance, and verification processes.

14.29 Business Opt-Out and Cancellation

Businesses may request to opt out, cancel, or unenroll from merchant services at any time by using the method Monway provides in the Business Dashboard or by contacting Monway support. Cancellation stops future participation only after the applicable active-event wind-down described below.

14.30 Active Event Wind-Down

If a Business is already participating in an active campaign, Promotion, receipt period, event period, or state/jurisdiction event window when it requests cancellation, the Business will remain active and publicly visible through the last day of that active event period for the state or jurisdiction in which the Store is located, unless Monway removes or limits the Business earlier for fraud, legal compliance, customer protection, payment risk, security, or Platform-integrity reasons.

Cancellation does not cancel current-period obligations, pending or auto-approved receipt-review duties, payment obligations, tax duties, dispute obligations, customer-support obligations, or obligations that survive termination.

14.31 Effect of Business Departure and Re-Enrollment

After the applicable active event period ends and final statements, receipts, disputes, and charges are processed, Monway may remove or limit the Business listing from public user view, disable offers, stop new receipt submissions tied to that Business, and convert the account to a limited, inactive, or records-only account.

The Business may continue to have account access for billing, records, tax, dispute, legal, support, and referral-attribution purposes as Monway permits. Business departure, inactivity, cancellation, or removal may permanently forfeit the Business’s seat, category position, market position, priority, public placement, or availability. Re-enrollment is not guaranteed. If the Business later seeks to rejoin, Monway may require a new application, updated documents, current terms, current rates, and placement at the end of any applicable waitlist.

14.32 Suspension or Termination by Monway

Monway may suspend or terminate Business participation for violation of these Terms, fraud, abuse, non-payment, customer harm, data misuse, legal risk, compliance risk, reputational risk, or business conduct inconsistent with Monway's Platform standards.

14.33 Business Indemnity

Businesses agree to indemnify, defend, and hold harmless Monway against claims, damages, losses, costs, penalties, chargebacks, disputes, regulatory inquiries, and attorney fees arising from the Business's products, services, offers, receipts, advertising, customer disputes, data misuse, employee actions, payment failures, taxes, legal violations, or breach of these Terms.

15.1 Push Notifications

Monway may offer push notification tools for Businesses or users. Businesses are responsible for ensuring their message content is accurate, lawful, non-deceptive, and compliant with advertising, privacy, and consumer protection laws.

15.2 AI Assistant and Automated Tools

Monway may provide AI, automation, recommendations, analytics, or assistant features. These tools may generate incomplete, inaccurate, delayed, or unsuitable outputs. Businesses and users are responsible for reviewing outputs before relying on them.

15.3 No Professional Advice

AI tools, analytics, platform recommendations, support content, and automated outputs are not legal, tax, accounting, financial, medical, engineering, safety, or professional advice.

15.4 Future Features

Future services may require additional terms, pricing, consents, licenses, or eligibility requirements.

Monway may use third-party providers for payment processing, identity verification, tax reporting, analytics, hosting, communication, fraud prevention, customer support, email, SMS, push notifications, maps, OCR, AI tools, banking, and business services.

Third-party providers may have their own terms and privacy policies. Monway is not responsible for independent third-party actions, outages, fees, delays, errors, or failures outside Monway's reasonable control.

Your use of the Platform is subject to the Monway Privacy Policy. The Privacy Policy explains how Monway collects, uses, discloses, retains, and protects information, including account data, receipt data, business account data, location data, device data, analytics data, privacy choices, and deletion requests.

By using the Platform, you acknowledge the Privacy Policy and any applicable privacy notices.

18.1 Monway Property

Monway owns or licenses the Platform, software, app design, website, dashboard, code, trademarks, logos, trade names, graphics, icons, content, workflows, scoring systems, referral systems, Promotion systems, documentation, and related intellectual property.

18.2 Limited License

Monway grants you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purpose, subject to these Terms.

18.3 Restrictions

You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, frame, mirror, exploit, or create derivative works from the Platform except as expressly permitted by Monway.

18.4 Feedback

If you submit feedback, ideas, suggestions, improvements, or feature requests, Monway may use them without restriction or compensation.

If you access Monway through Apple, Google, or another app marketplace:

• the app marketplace is not a sponsor of Monway Promotions;
• the app marketplace is not responsible for Promotions, prizes, entries, business payments, support, claims, or disputes;
• you must comply with applicable marketplace terms;
• to the extent permitted by law, you release Apple, Google, and their affiliates from claims related to Monway Promotions.

The Platform may display or link to third-party businesses, websites, apps, products, services, maps, payment providers, stores, ads, or content.

Monway does not control and is not responsible for third-party terms, privacy practices, products, services, pricing, availability, safety, legality, quality, or customer service.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONWAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, SECURITY, RELIABILITY, AND ERROR-FREE OPERATION.

Monway does not guarantee that:

• the Platform will be uninterrupted, secure, or error-free;
• receipts will be approved;
• any user will win a Promotion;
• any Business will receive customers, sales, traffic, leads, revenue, rankings, reviews, or return on investment;
• referral features will create any economic benefit;
• AI or analytics outputs will be accurate;
• third-party providers will perform without error.

Some jurisdictions do not allow certain disclaimers, so some disclaimers may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONWAY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, PARTNERS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR LOST-PROFIT DAMAGES, INCLUDING LOST REVENUE, LOST BUSINESS, LOST DATA, LOST GOODWILL, BUSINESS INTERRUPTION, OR PLATFORM UNAVAILABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONWAY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• the amount you paid directly to Monway for the specific service giving rise to the claim during the twelve (12) months before the claim; or
• one hundred dollars ($100).

For Businesses, Monway's total liability will not exceed the amount the Business paid directly to Monway for the specific service giving rise to the claim during the twelve (12) months before the claim.

Nothing in these Terms limits liability where prohibited by law, including liability for gross negligence, willful misconduct, or non-waivable statutory rights.

You agree to indemnify, defend, and hold harmless Monway and its officers, directors, employees, contractors, affiliates, partners, service providers, and agents from and against any claims, demands, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorney fees, arising from or related to:

• your use or misuse of the Platform;
• your violation of these Terms;
• your violation of Official Rules;
• your fraud, abuse, or unlawful conduct;
• your User Content;
• your receipts, reviews, referrals, or account activity;
• your violation of third-party rights;
• for Businesses, your products, services, offers, receipts, taxes, customers, employees, business data, payment failures, or legal compliance.

Monway may assume control of the defense of any claim, and you agree to cooperate.

Monway may suspend, restrict, terminate, or refuse access to the Platform, accounts, business dashboards, entries, rewards, points, referrals, commissions, prizes, campaigns, offers, or services if Monway reasonably believes:

• you violated these Terms;
• you violated Official Rules;
• you created legal, security, fraud, payment, reputational, or compliance risk;
• your account is inactive, compromised, duplicate, or fraudulent;
• your Business failed to pay;
• your activity threatens Platform integrity;
• continued service is unlawful, restricted, or commercially impractical.

Termination does not eliminate payment obligations, tax duties, dispute obligations, data retention rights, fraud investigation rights, indemnity obligations, or other terms intended to survive.

Monway may modify the Platform, features, services, pricing, rate cards, Promotions, business tools, eligibility rules, and these Terms.

Material changes will be posted with an updated "Last Updated" date and additional notice where required by law. Continued use after changes become effective means you accept the updated Terms.

Promotion changes apply only as permitted by the applicable Official Rules. Business pricing changes apply prospectively unless otherwise agreed in a Merchant Agreement or Order Form.

26.1 Informal Resolution

Before filing a claim, you agree to contact legal@monwayportal.com and give Monway thirty (30) days to try to resolve the dispute informally.

26.2 Governing Law

These Terms are governed by Nevada law, without regard to conflict-of-law principles, except where mandatory consumer protection law requires otherwise.

26.3 Arbitration

To the maximum extent permitted by law, disputes arising from or relating to these Terms or the Platform will be resolved by binding individual arbitration, not in court, except for small claims court matters, intellectual property claims, injunctive relief, collections against Businesses, and claims that cannot lawfully be arbitrated.

The arbitration will be administered by a recognized arbitration provider under its applicable consumer or commercial rules. The arbitrator may award the same individual relief that a court could award, subject to these Terms.

26.4 Class Action Waiver

To the maximum extent permitted by law, disputes must be brought only on an individual basis. You and Monway waive the right to bring or participate in class actions, class arbitrations, collective actions, private attorney general actions, or representative actions, except where this waiver is prohibited by law.

26.5 Jury Trial Waiver

If a dispute proceeds in court, you and Monway waive the right to a jury trial to the maximum extent permitted by law.

26.6 Venue

For disputes that may be brought in court, the exclusive venue will be the state or federal courts located in Clark County, Nevada, unless applicable law requires a different venue.

26.7 Arbitration Opt-Out

Consumer users may opt out of arbitration by emailing legal@monwayportal.com within thirty (30) days after first accepting these Terms. The opt-out email must include the consumer user’s full name, account email, phone number, and a clear statement that the consumer user opts out of arbitration. Opting out of arbitration does not opt the consumer user out of the rest of these Terms.

This arbitration opt-out applies only to consumer/user accounts unless a signed Merchant Agreement, Merchant Order Form, or other written agreement accepted by Monway expressly gives a Business, Merchant, or Store a separate arbitration opt-out right.

Business disputes, merchant billing disputes, receipt-review disputes, campaign disputes, merchant-service disputes, and other business-to-business disputes are governed by the applicable Merchant Agreement, Merchant Order Form, Rate Card, and business terms.

If you believe content on the Platform infringes your rights, contact legal@monwayportal.com with:

• your name and contact information;
• identification of the copyrighted work or protected material;
• identification of the allegedly infringing content;
• a statement that you have a good-faith belief the use is unauthorized;
• a statement that the information is accurate;
• your physical or electronic signature.

Monway may remove content and terminate repeat infringers where appropriate.

Monway is not responsible for delay, failure, outage, interruption, cancellation, or modification caused by events beyond Monway's reasonable control, including natural disasters, fire, flood, war, terrorism, civil unrest, labor disputes, government action, epidemic, cyberattack, platform outage, app store issue, payment processor issue, carrier issue, cloud provider outage, technical failure, or legal restriction.

Monway may delay, suspend, modify, or cancel Platform activity or Promotions as necessary to preserve integrity and comply with law, consistent with the applicable Official Rules.

29.1 Severability

If any provision is invalid or unenforceable, the remaining provisions remain enforceable. The invalid provision will be modified to the minimum extent necessary to make it enforceable, where permitted.

29.2 No Waiver

Monway's failure to enforce a provision is not a waiver.

29.3 Assignment

You may not assign these Terms without Monway's written consent. Monway may assign these Terms in connection with merger, acquisition, financing, restructuring, sale of assets, change of control, or by operation of law.

29.4 No Partnership

These Terms do not create a partnership, joint venture, franchise, employment, agency, fiduciary, or exclusive relationship between you and Monway.

29.5 Entire Agreement

These Terms, the Privacy Policy, Official Rules, Promotion Details, AMOE instructions, Merchant Agreements, Order Forms, Rate Cards, invoices, and applicable written terms make up the entire agreement between you and Monway regarding the Platform.

29.6 Survival

Sections relating to payment obligations, taxes, fraud investigations, data retention, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and miscellaneous terms survive termination.
